1. Introduction

These Terms of Service (β€œTerms”) govern your access to and use of the SolaraForge platform, including ProtocolForge, ValidationForge, ChangeForge, AuditForge, ContentForge and future Forges (modules), (collectively, the β€œPlatform”), operated by Exponential Technologies Corp (β€œwe”, β€œus”, or β€œour”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

2. Definitions

  • Platform: The SolaraForge software-as-a-service platform, including ProtocolForge, ValidationForge, ChangeForge, AuditForge, ContentForge, and any future forges (modules).

  • User Content: Any documents, data, protocols, validation plans, or other materials you upload to the Platform.

  • AI Outputs: Structured analysis results, recommendations, summaries, gap analyses, or other outputs generated by our AI systems.

3. Account Registration and Responsibilities

  • You must provide accurate and complete information when creating an account.

  • You are responsible for maintaining the confidentiality of your account credentials.

  • You are responsible for all activities that occur under your account.

  • You must promptly notify us of any unauthorized use of your account.

4. Description of Services

Exponential Technologies Corp provides an AI-powered platform for clinical protocol management (ProtocolForge) and computer system validation and assurance (ValidationForge). The Platform includes features such as AI-assisted authoring, traceability matrices, change impact assessment, audit trail review, and compliance dashboards.

We may modify, suspend, or discontinue any part of the Platform at any time.

5. Intellectual Property Rights

  • Your Content: You retain all ownership rights to your User Content. You grant us a limited license to process your User Content solely to provide the services.

  • Our Platform: Exponential Technologies Corp retains all rights, title, and interest in the Platform, including all software, AI models, algorithms, and AI Outputs (except for your specific structured data).

  • You may not copy, modify, distribute, sell, or lease any part of the Platform.

6. AI-Generated Content

  • AI Outputs are provided as assistive tools only.

  • You remain solely responsible for reviewing, validating, and ensuring the regulatory compliance and scientific accuracy of all final documents and decisions.

  • We do not warrant that AI Outputs are error-free or suitable for any particular regulatory submission.

7. Fees and Payment

If you subscribe to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as stated in our refund policy.

8. Term and Termination

  • These Terms begin when you first access the Platform and continue until terminated.

  • You may terminate your account at any time.

  • We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion.

  • Upon termination, your right to use the Platform ends immediately.

9. Limitation of Liability

To the maximum extent permitted by law, Exponential Technologies Corp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Platform.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Exponential Technologies Corp and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of Arbitration Body.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
